AUNGSHA is a company incorporated under the laws of Bangladesh, operating a real estate share ownership platform ('Platform') called Aungsha that connects retail buyers with carefully selected real estate opportunities. Our registered address is in Dhaka, Bangladesh.

2. Definitions
- 'Platform': The Aungsha website, mobile application, and all related technology services operated by AUNGSHA
- 'User' or 'Buyer': Any individual aged 18 or above who has registered a verified account on the Platform.
- 'Unit': A shared ownership share in a specific real estate project listed on the Platform.
- 'Project': A real estate development or income-generating property listed by a Developer on the Platform for share-based purchase.
- 'Developer': A licensed real estate developer or property owner who lists Projects on the Platform.
- 'Offer Details': The project-specific disclosure listing/document detailing the purchase terms, risks, fees, and timeline for each Project.
- 'Secondary Market': The peer-to-peer marketplace within the Platform where Users may trade Units with other verified Users.
- 'Aungsha Balance': The digital balance within the Platform used to hold uninvested funds, receive returns, and initiate transactions.
- 'KYC': Know Your Customer - the identity and background verification process required under relevant Bangladeshi law.
- 'AML': Anti-Money Laundering - compliance procedures required under the Money Laundering Prevention Act, 2012 of Bangladesh.
3. Eligibility and Registration
3.1 Eligibility Requirements
To use the Aungsha Platform and make purchases, you must:
- Be at least 18 years of age
- Be a citizen or resident of Bangladesh, or an eligible non-resident Bangladeshi (NRB) as defined by relevant regulations
- Have a valid National Identity Card (NID)
- Have a valid bank account or mobile financial services (MFS) account registered in your name
- Have the legal capacity to enter into binding contracts under Bangladeshi law
- Not be subject to any sanctions, regulatory bans, or legal restrictions preventing you from investing
3.2 Registration and KYC
You must complete our registration and KYC verification process before making any purchase. This includes providing accurate, current, and complete information. You agree to update your information promptly if it changes. Providing false or misleading information is a material breach of these Terms and may result in immediate account suspension and reporting to relevant authorities.
3.3 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@aungsha. com if you suspect unauthorized access to your account. Aungsha will not be liable for losses arising from your failure to maintain adequate account security.
4. Nature of the Platform and Purchases
4.1 Platform Role
Aungsha is a technology platform that helps users make real estate share ownerships. We are NOT:
- A bank, financial institution, or deposit-taking entity
- A licensed stock exchange or securities broker (unless separately registered as such)
- A real estate developer or property manager
- A financial advisor - nothing on the Platform means financial advice tailored to your personal circumstances
4.2 Purchase Risk
ALL purchases carry risk. By investing on the Aungsha Platform, you acknowledge and accept that:
- The value of real estate purchases can go down as well as up, and you may receive less than you invested depending on the state of the market and economic conditions.
- Returns are not guaranteed and are subject to project performance, market conditions, and economic factors.
- Real estate purchases are generally not always easy to sell quickly; you may not be able to exit your purchase with profit/returns intact when you wish. Please refer to our Refund Policy to learn more about refund eligibility and selling or withdrawing your purchase opportunities.
- Developer default, construction delays, regulatory changes, political instability or natural disasters may adversely affect your purchase.
- Past performance of any project or developer profile on the Platform is not a reliable indicator of future results.
Buyer Declaration
By proceeding to invest, you declare that you understand the risks associated with real estate share ownership, that you have read the relevant Offer Details, and that the purchase is suitable for your financial situation. Aungsha strongly recommends that you read our Refund Policy and seek independent financial and legal advice before investing.
4.3 Offering Documents
Each Project is accompanied by an Offering Document prepared by the Developer and reviewed by Aungsha. You must read the Offering Document in full before investing. In the event of any conflict between these Terms and the Offering Document, the Offering Document shall prevail with respect to the specific Project terms.
5. Sharing Your Information
5.1 Browsing and Selection
Users may browse available Projects on the Platform. Project listings include summary and full details as part of the Offer Details. Aungsha makes no warranty as to the accuracy of Developer-provided information beyond reasonable due diligence.
5.2 Funding and Allocation
Purchases are subject to minimum amounts as specified in each Offer Detail. Funds submitted for purchase are held in a designated escrow or trust arrangement until the Project reaches its minimum funding target. If the target is not reached within the fundraising window, funds will be returned in full, minus any handling or platform fees (see Refund Policy).
5.3 Unit Issuance
Upon successful funding of a Project, Units are digitally allocated to your account within 5 business days of the funding window closing. A Unit represents a proportional beneficial interest in the Project, as further defined in the Offer Detail. Aungsha will maintain a register of Unit holders. Purchases less than BDT 500,000 will be considered as property shares of a Project, and buyers are not entitled to ownership of the Project except for the microshares issued and purchased, as detailed in a digital certificate issued to buyers. Purchases greater than BDT 500,000 will be accompanied by an ownership certificate for buyers.
5.4 Returns and Distributions
By the nature of microshare purchases in real-estate, the distribution of profit against a real-estate purchase is only relevant after a piece of real-estate has started to generate real economic value, i. e., after the piece of real estate has been fully developed into a revenue generating unit. Thus, a particular project (commercial complex, hotel, resort, offices, etc.) can only distribute profits after it is constructed and fully operational ('Project Maturity') - buyers are then entitled to a share of the profits of the building's operations over time through Annual General Meetings (AGM) of shareholders during which the profit distribution is settled. Until that time, Aungsha offers users and buyers an opportunity to buy into the future economic value and revenue potential of each Unit - and in case of an early exit before project maturity, buyers are entitled to receive returns on their purchase as the value of the project changes over time.
All buyers are eligible for regular returns on their purchases into microshares as purchased on Aungsha. The rate of return varies on project completion, economic and market factors, and the returns are not guaranteed in any way. The purchase returns may vary depending on the duration of the purchase, and the investor's chosen withdrawal period before the projects have reached maturity/completed construction. For a detailed breakdown of the selling or withdrawing your purchase windows, please refer to the next section.
6. Selling or Withdrawing Your Purchase Windows
Aungsha as a real-estate purchases platform relies on a steady and stable supply of funds from real-estate buyers, provided to real estate developers. This requires a level of not always easy to sell quicklyity in purchases gathered through the platform, and thus a maximum number of withdrawal periods has been defined through which buyers may exit their purchases on a timely basis with their returns and gains intact.
The returns and withdrawal periods are defined as follows, along with a detailed breakdown of Fees and Charges in each individual case.
Additional details into general Fees and Charges follows in the next section.
- All users are entitled to a complete refund without any platform fees or handling charges within 10 days of purchase.
- After 10 days, users are entitled to a withdrawal process while incurring a 1.5% platform fee in addition to any third party payment gateway charges that may apply.
- Early bird prebook users are entitled to an early withdrawal period of 3 months from initial purchase with returns, while incurring a standard 1.5% platform fee and any third party payment gateway charges that may apply. The next withdrawal period for prebook users will be in another 3 months, and following withdrawals will follow regular withdrawal period rules.
- Non-prebook users and standard purchases will be entitled to a 6 month withdrawal period during which they can withdraw their amounts with returns, while incurring a standard 1.5% platform fee any any third party payment gateway charges that may apply.
- A user may register their purchase units for sale on the secondary marketplace at any point after the prebook period for the project is over, at any price as set by the user, while agreeing to a 1.5% platform fee on top of the sale price in the event of a successful sale. Buyers on the secondary marketplace are subjected to a 0.5% unit transfer fee, to be paid during purchase on the secondary marketplace.
7. Fees and Charges
Aungsha charges the following fees, which are disclosed in the Offer Details and our platform's fee schedule:
All fees are inclusive of relevant government taxes and levies. Aungsha reserves the right to amend its general fee schedule with 30 days' notice.
- Secondary market commission: 2% of the transaction value, split between buyer (0.5%) and seller (1.5%)
- Exit fee: 1.5% of the transaction value on certain projects as specified in the Offering Details
8. Secondary Market
Aungsha operates a Secondary Market for the trading of Units between verified Users. Use of the Secondary Market is subject to these Terms and any additional marketplace rules published on the Platform. Aungsha acts solely as an operator of the marketplace and is not a party to Secondary Market transactions other than collecting a percentage transaction fee. Aungsha does not guarantee ability to sell, buyer availability, or any specific price for your Units.
Aungsha reserves the right to suspend Secondary Market trading for any Project at any time, including due to regulatory requirements, developer request, or Platform maintenance.
9. User Obligations and Prohibited Conduct
9.1 Your Obligations
As a User, you agree to:
- Use the Platform only for lawful purchase purposes consistent with these Terms
- Provide accurate and truthful information at all times
- Not misrepresent your financial literacy, income, or net worth in violation of any self-certification requirements
- Comply with all relevant Bangladeshi laws, including securities, tax, and foreign exchange regulations
- Not share your account credentials with any third party
9.2 Prohibited Conduct
You must NOT:
Breach of this section may result in immediate account termination, forfeiture of any pending returns, and referral to law enforcement authorities.
- Use the Platform to launder money, finance terrorism, or conduct any illegal financial activity
- Attempt to manipulate purchase prices, create false demand, or engage in market abuse
- Circumvent any of the Platform's security, authentication, or KYC controls
- Use automated tools, bots, or scripts to scrape data from or interact with the Platform without our written consent
- Post false, defamatory, or misleading information about any Project, Developer, or Aungsha
- Engage in any conduct that disrupts the Platform's operation or negatively affects other Users
10. Intellectual Property
All content on the Aungsha Platform, including but not limited to the brand name, logo, software, text, graphics, data models, and user interface, is owned by or licensed to AUNGSHA and is protected by relevant intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal purchase purposes. You may not copy, modify, distribute, reverse-engineer, or create derivative works from any part of the Platform without our express written consent.
11. Aungsha's Responsibilities and Limitations
11.1 Platform Availability
We strive to maintain Platform availability 24/7 but do not guarantee uninterrupted access. Scheduled maintenance, security updates, or force majeure events may cause temporary downtime. We will try to provide advance notice of planned maintenance.
11.2 Due Diligence
Aungsha conducts due diligence on Developers and Projects before listing them on the Platform, including legal title verification, Developer credential checks, and project feasibility assessment. However, this due diligence does not constitute a guarantee of project success, Developer performance, or purchase returns. You are ultimately responsible for your own purchase decisions.
11.3 Limitation of Liability
To the maximum extent permitted by relevant Bangladeshi law, Aungsha shall not be liable for:
In any case, Aungsha's maximum aggregate liability to you shall not exceed the total platform fees paid by you in the 12 months preceding the event giving rise to the claim.
- Loss of purchase value due to real estate market conditions
- Developer default, project delays, or force majeure events
- Losses arising from your reliance on any content on the Platform that does not constitute advice
- Indirect, consequential, incidental, or punitive damages of any kind
- Technical failures, cyberattacks, or third-party service disruptions beyond our reasonable control
12. Regulatory Compliance
Aungsha operates in compliance with relevant Bangladeshi laws and regulations, including those issued by Bangladesh Bank, the Bangladesh Securities and Exchange Commission (BSEC), the Registrar of Joint Stock Companies and Firms (RJSC), and the National Board of Revenue (NBR). We may be required to:
Regulatory requirements may change over time and may affect the availability of certain Platform features or purchase structures. Aungsha reserves the right to modify or discontinue any feature to remain compliant with relevant law.
- Report suspicious transactions to the Bangladesh Financial Intelligence Unit (BFIU)
- Freeze or restrict accounts under regulatory direction
- Withhold and remit taxes on behalf of buyers in certain circumstances
- Share investor information with regulatory authorities as required by law
13. Term, Suspension, and Termination
13.1 Duration
These Terms remain in effect for as long as you hold an account on the Aungsha Platform.
13.2 Voluntary Closure
You may close your account at any time by contacting support@aungsha. com. Account closure is subject to the resolution of any pending transactions and the settlement of any active purchases. You may not close your account while you hold any Units; you must first exit your purchases via the Secondary Market or await project maturity.
13.3 Suspension and Termination by Aungsha
Aungsha may suspend or terminate your account, with or without prior notice, if:
Upon termination, your access to the Platform will be revoked. Any Units you hold will be dealt with as specified in the Offering Document and our post-termination procedures.
- You breach any provision of these Terms
- We are required to do so by a regulatory authority
- We detect fraudulent, suspicious, or illegal activity associated with your account
- You become subject to insolvency proceedings
14. Dispute Resolution and Governing Law
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bangladesh, subject to the arbitration provisions below.
14.2 Informal Resolution
Before initiating any formal dispute process, you agree to contact us at compliance@aungsha. com to attempt to resolve the dispute informally. We will try to respond and resolve the issue within 15 business days.
14.3 Arbitration
Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, that cannot be resolved informally, shall be referred to and finally resolved by arbitration in Dhaka, Bangladesh, under the rules of the Bangladesh International Arbitration Centre (BIAC). The language of the arbitration shall be English or Bangla, at the election of the claimant. The arbitrator's decision shall be final and binding.
15. Amendments
Aungsha reserves the right to amend these Terms at any time. Material amendments will be communicated via email and in-app notification at least 14 days before they take effect. Your continued use of the Platform after the effective date of any amendment means acceptance of the revised Terms. If you do not agree with amended Terms, you must cease using the Platform.
